The
parties hereby agreed that the second Party is hereby appointed as
the Leading Party of the Joint-Venture and in the name and on
behalf of the Joint-Venture shall employ, engage, terminate all
staff, officers and Experts required from time to time for such
purposes, and shall be appointed to sign all documents, operate
bank accounts and generally shall have overall management of the
operations as may be required for the benefit and good conduct of
the business of the Joint-Venture.
